1. Parties
This End User License Agreement (the “EULA”) is a binding agreement between you (the “Licensee”) and [Studio Tools, Inc.] (“Studio Tools”) covering the Studio Render desktop application, including any associated media, printed materials, and electronic documentation (the “Software”).
2. License grant
Subject to your continuing compliance with this EULA and the Terms of Service, and subject to your payment of any applicable fees, Studio Tools grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Software for the sole purpose of generating Outputs through the Service, on devices owned or controlled by you.
The Software is licensed, not sold. Studio Tools and its licensors retain all right, title, and interest in and to the Software, including all intellectual-property rights. No license is granted by implication, estoppel, or otherwise except as expressly set forth here.
3. Restrictions
You will not, and will not permit any third party to:
- copy the Software except as needed for normal installation and authorised back-up;
- modify, adapt, translate, or create derivative works of the Software;
- reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or algorithms of the Software, except to the limited extent expressly permitted by mandatory law;
- remove, obscure, or alter any proprietary notice, label, or mark in or on the Software;
- sell, lease, rent, sublicense, distribute, transfer, host as a service, or otherwise commercially exploit the Software;
- share, distribute, or transfer your license key or account credentials;
- use the Software to build a competing product or to benchmark the Service in a manner intended to harm us competitively;
- use the Software in a manner that violates the Acceptable Use Policy;
- use the Software in life-critical, life-supporting, nuclear, aviation, or other high-risk applications where failure could lead to death, personal injury, or environmental damage; or
- use the Software in violation of any applicable law or third-party right.
4. Updates and supported versions
We may release updates, patches, or new versions of the Software from time to time. We may install updates automatically where you have authorised that behaviour, or prompt you to update. Older versions may be deprecated and rendered inoperative if continued use would risk Service stability or security. Your license covers each version we make available to you so long as you remain in compliance.
5. Data and telemetry
The Software collects limited information necessary to operate, validate your license, and improve the product, as described in our Privacy Policy. Your license key is stored using your operating system's keychain or credential vault where available, with a software-only fallback if not. Project history is stored locally on your device; you are responsible for backing it up.
6. Ownership of Outputs
Subject to your compliance with this EULA, the Terms, and the Acceptable Use Policy, and to the extent we have ownership or licensable rights, we assign to you all of our right, title, and interest (if any) in the Outputs generated for you, for any lawful commercial or personal use. You acknowledge the limitations described in Section 8 of the Terms, including that Outputs may not be unique and may not be eligible for copyright protection in every jurisdiction.
7. Open-source components
The Software incorporates certain open-source components, each licensed
under its own terms. The applicable notices and license texts are
reproduced in the “Acknowledgements” section of the Software
(available from the application Help menu or the file
THIRD_PARTY_NOTICES.txt in the installation directory). To the
extent any open-source license conflicts with this EULA, the open-source
license applies to that component.
8. Term and termination
This EULA applies from the date you first install or use the Software and continues until terminated. It will terminate automatically if you breach any term. We may also terminate it in accordance with the Terms. On termination, you must stop using the Software, uninstall all copies, and destroy any associated materials. Sections that by their nature should survive termination will survive.
9. Export controls and sanctions
The Software may be subject to U.S. and other export-control laws, including the U.S. Export Administration Regulations. You will not directly or indirectly export, re-export, or release the Software to any destination, end user, or end use prohibited by applicable law, and you represent that you are not located in, organised under the laws of, or ordinarily resident in any country or region subject to comprehensive U.S. or applicable sanctions, and that you are not on any restricted-party list.
10. U.S. Government end users
The Software is “commercial computer software” and the documentation is “commercial computer software documentation”, as those terms are used in 48 C.F.R. §12.212 and 48 C.F.R. §§ 227.7202-1 through 227.7202-4. Use, modification, reproduction, release, performance, display, and disclosure by the U.S. Government are governed solely by the terms of this EULA and the Terms.
11. Disclaimers and limitation of liability
The disclaimers of warranty in Section 13 of the Terms, the limitations of liability in Section 14 of the Terms, and the indemnification obligation in Section 15 of the Terms apply to this EULA as if set out in full here.
